Terms of Service

1. Introduction and Acceptance
These Terms of Service (“Terms”) govern your access to and use of ReadWith, a reading group and notes platform available at readwith.app (collectively, the “Service”).
The Service is operated by Pascal Laliberté, operating as ReadWith, and any successor entity that may assume operation of the Service (“ReadWith”, “we”, “us”, or “our”).
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
We may update these Terms from time to time. We will notify you of material changes by email or by prominent notice within the Service. Continued use after the effective date of any update constitutes acceptance of the revised Terms.
2. Definitions
- “User” means any individual who creates a ReadWith account.
- “Organizer” means a User who has been granted the ability to create and administer one or more Reading Groups or Clubs.
- “Member” means a User who has been invited into a Reading Group or Club by an Organizer.
- “Reading Group” means a private group created by an Organizer for shared reading and discussion.
- “Club” means a discovery-oriented group created by an Organizer for broader reading exploration.
- “Content” means any notes, reading metadata, book lists, or other material that a User creates or uploads within the Service.
- “Derived Data” means anonymized or aggregated data derived from usage of the Service, including book metadata, edition structures, and colloquial book identifiers, as described in Section 9.
3. Accounts and Eligibility
3.1 Eligibility
You must be at least 13 years of age to use the Service. By creating an account, you represent that you meet this requirement. If you are under 18, you represent that you have parental or guardian consent.
3.2 Account Creation
You may create an account through the standard registration flow, or by accepting an invitation from an Organizer. If you create an account via an invitation, your onboarding experience may differ from that of self-registered users and may reference the Reading Group or book for which you were invited.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
3.3 Accurate Information
You agree to provide accurate and current information when creating your account and to update it as necessary. ReadWith reserves the right to suspend or terminate accounts based on inaccurate or misleading registration information.
4. Organizers: Responsibilities and Limitations
4.1 Organizer Role
Organizers create and administer Reading Groups and Clubs and are responsible for inviting Members. By taking on the role of Organizer, you accept elevated responsibilities for the conduct of your groups under these Terms.
4.2 Organizer Obligations
Organizers warrant that their Reading Groups and Clubs are not used for any illegal, harmful, deceptive, or harassing purpose. Organizers are responsible for:
- Ensuring that invitations are extended only to individuals who have consented to join the group.
- Ensuring that group activity complies with these Terms and applicable law.
- Any customizations made to onboarding or invitation communications permitted by the Service.
4.3 Organizer Communications
ReadWith may, in the future, allow Organizers to customize certain communications sent to invited Members. Organizers are solely responsible for the content of any such customizations. ReadWith is not liable for representations made by Organizers to Members in connection with an invitation or group membership.
4.4 Organizer Fees and Monetization
ReadWith does not currently facilitate payment collection between Organizers and Members. Organizers may independently collect fees for group participation outside of the Service through means of their own choosing. ReadWith is not a party to any such arrangements and accepts no responsibility or liability in connection with them.
4.5 Effect of Subscription Changes on Groups
If an Organizer’s subscription is downgraded to a tier that does not include group creation, the following applies:
- Existing Members retain read access to notes previously shared within the group.
- New notes will no longer be shared with the group.
- Members may continue adding notes to their personal reading independently of the group.
If an Organizer deletes a group, or deletes their account (which will result in deletion of their groups), the following applies:
- Members permanently lose access to notes shared by other group members.
- Members permanently lose access to the member list and group-level data, including shared reading goals.
- Members retain full ownership of and access to their own notes.
Group deletion is irreversible.
5. Your Content and Ownership
5.1 You Own Your Content
You retain full ownership of all notes and reading metadata you create in ReadWith. ReadWith claims no ownership over your Content.
By using the Service, you grant ReadWith a limited, non-exclusive, royalty-free license to store, encrypt, and display your Content solely as necessary to operate the Service and to make your Content available to you and to members of groups with whom you have explicitly chosen to share it. This license does not extend to any other use.
5.2 Sharing by Reference
When you share Content with a Reading Group or Club, no copy of your notes is made. Sharing is implemented by reference only. You retain control over your Content at all times.
5.3 Sharing Controls
You may share notes with Reading Group members through your group membership settings. You may share notes with Club members via a dedicated toggle within the Service. You are solely responsible for your sharing decisions.
5.4 Content You Cannot Store
ReadWith is not an ebook reader. Users may not upload, store, or share ebook or other copyrighted book files through the Service.
ReadWith may, at its sole discretion, make author-authorized digital files available for download through the Service.
5.5 Acceptable Use
You agree not to use the Service to:
- Post, share, or transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Service.
- Attempt to gain unauthorized access to the Service or its related systems.
- Use the Service for any commercial purpose not expressly permitted by these Terms.
- Violate any applicable local, provincial, national, or international law or regulation.
6. Note Encryption and Access
Notes are encrypted at rest at the database level using a key controlled by ReadWith. No secondary search index or copy of note content is maintained outside the primary database. ReadWith is technically capable of decrypting note content using that key.
ReadWith will access encrypted note content only when at least one of the following conditions is met:
- A report has been submitted through the designated abuse reporting mechanism, and ReadWith has independently determined that review is warranted; or
- A support request has been submitted by the user, and access is necessary to investigate or resolve the reported issue.
In all cases, each instance of access is logged with a stated reason and a reference to the associated report or support request (such as a link to the support conversation). These logs are retained for 24 months.
ReadWith will not access note content for commercial purposes, product development, AI training, or any purpose other than those described in these Terms and the Privacy Policy.
7. Abuse Reporting and Enforcement
If you believe that content or conduct within the Service violates these Terms, you may report it to ReadWith at frontdesk@readwith.app. ReadWith will review reports and reserves the right to act, including by removing content or suspending or terminating accounts, at its sole discretion.
ReadWith is not obligated to act on every report and does not guarantee any particular outcome. ReadWith will not disclose the identity of a reporter except as required by law.
8. API Access
ReadWith does not currently offer a public API. An API layer is partially implemented and may be made available to select users on a manual, invitation-only basis at the discretion of ReadWith. Any such access is subject to these Terms and any additional terms communicated at the time of access.
9. Derived Data and Data Monetization
ReadWith may derive aggregated or anonymized datasets from user activity, including but not limited to book edition metadata, table of contents structures, and colloquial book identifiers (“Derived Data”). Such Derived Data may be used internally or licensed to third parties.
ReadWith will not sell, license, or otherwise transfer Derived Data to third parties unless it has been anonymized or aggregated in a manner that does not identify individual users.
ReadWith will never sell your notes or the content of your notes to any third party under any circumstances.
10. Third-Party AI Processing
ReadWith may engage third-party artificial intelligence providers to process certain non-note content, including table of contents data and reading progress information, for the purpose of generating features such as proposed reading timelines or content analysis.
ReadWith will not transmit encrypted note content to third-party AI providers without a prior update to the Privacy Policy and, where required, user consent.
Data transmitted to third-party AI providers is subject to those providers’ own data retention and processing terms. ReadWith will identify the categories of AI providers used in its Privacy Policy.
11. Third-Party Integrations
ReadWith does not currently offer third-party integrations. Future integrations, including note synchronization with third-party services, may be introduced. Any such integrations will be disclosed in these Terms and in the Privacy Policy prior to becoming available.
ReadWith is not responsible for the practices, content, or availability of any third-party services.
12. Payments and Subscriptions
Organizer subscriptions are processed through Stripe. By subscribing, you agree to Stripe’s terms of service and privacy policy in addition to these Terms. ReadWith does not store payment card data.
Subscription fees are charged on a recurring basis as described at the time of purchase. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. ReadWith does not currently offer refunds for partial billing periods.
13. Termination
You may delete your account at any time. Account deletion is permanent and irreversible. Upon deletion, your Content is removed from active systems immediately. Encrypted database backups may retain your data for up to 30 days as part of routine backup procedures, after which it is permanently purged.
ReadWith may suspend or terminate your account at any time, with or without notice, if you violate these Terms or if ReadWith determines, in its sole discretion, that your account poses a risk to the Service or to other users.
Upon termination, your right to use the Service ceases immediately. The provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, disclaimers, and limitations of liability.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
ReadWith does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. ReadWith does not warrant that any defects will be corrected or that the Service is free of viruses or other harmful code.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, READWITH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL READWITH’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO READWITH IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
In the event of a dispute, the parties agree to first attempt to resolve the matter informally by contacting ReadWith at frontdesk@readwith.app. If informal resolution is not achieved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Ontario.
17. Language
These Terms are written in English. A French version may be made available. In the event of any inconsistency between the English and French versions, the English version shall prevail.
